Gaia

Terms of Service

Welcome to Gaia. These Terms of Service ("Terms") govern your use of the Gaia platform, website, and services (collectively, the "Services"), operated by Project Gaia ("Gaia," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

01

Definitions

"Services" means the Gaia website, mobile applications, APIs, and all related tools and features.

"User," "you," and "your" refer to any person who accesses or uses the Services.

"Donor" means a User who makes a donation through the Services.

"Partner Organization" means a community-based organization or nonprofit listed on the Services.

"Donation" means a voluntary financial contribution made by a Donor to a Partner Organization through the Services.

02

Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

03

What Gaia Is and Is Not

Gaia is an online platform that facilitates connections and donations between Donors and Partner Organizations. Gaia is not itself a charity, tax-exempt organization, fiduciary, investment advisor, tax advisor, or legal advisor.

Donations made through the Services are processed by our third-party payment processor (Stripe) and are directed to the Partner Organization you select. Gaia does not hold, control, or take custody of donated funds beyond the platform fee described in Section 6.

04

Vetting and Information About Partner Organizations

Gaia performs a review of publicly available information about Partner Organizations before listing them, including (where applicable) IRS records, Form 990 filings, and other public financial disclosures. This review is a snapshot at the time of listing.

You expressly understand and agree that:

Gaia's review does not constitute an audit, certification, or endorsement of any Partner Organization.

Gaia does not independently verify all information provided by Partner Organizations.

Partner Organization information, status, and financial condition may change after listing.

The listing of a Partner Organization on Gaia is not a recommendation to donate.

You are responsible for conducting your own diligence before making a donation.

05

Tax Deductibility of Donations

The tax deductibility of any donation depends on the tax status of the receiving Partner Organization and on your individual tax situation. Where a Partner Organization has been confirmed by Gaia as a currently active 501(c)(3) public charity, the Services will indicate that donations to that organization may be tax-deductible. Where no such confirmation appears, donations should not be assumed to be tax-deductible.

Gaia does not provide tax advice. Any indication of potential tax deductibility is based on the Partner Organization's status at the time of the donation and does not guarantee that the donation will be deductible in your circumstances. You should consult your own tax advisor.

06

Fees

Gaia charges a platform fee of 5% of each donation (capped at $10 per donation), which is disclosed to you at checkout before your donation is processed. Standard third-party payment processing fees also apply and are similarly disclosed. Gaia may change its fees from time to time; changes will not apply to donations already initiated.

Stripe charges its own fee of 2.9% + $0.30 per transaction.

07

Donations

7.1 Voluntary Nature

All donations are voluntary. You are not entitled to any goods, services, or specific outcomes in return for your donation.

7.2 Refunds

Donations are generally non-refundable once processed. Gaia may, at its sole discretion, issue a refund in cases of duplicate transactions, technical error, verified fraud, or where the intended Partner Organization has not completed onboarding to receive funds. Refund requests should be directed to contact@project-gaia.com within seven (7) days of the donation.

7.3 Use of Funds

Once a donation is transferred to a Partner Organization, Gaia has no control over how that Partner Organization uses the funds. Gaia does not guarantee that donations will be used for any specific program or purpose.

08

Acceptable Use

You agree not to:

  • Use the Services in violation of any applicable law or regulation.
  • Provide false, misleading, or fraudulent information.
  • Use the Services to launder money or process transactions unrelated to genuine charitable giving.
  • Attempt to gain unauthorized access to any part of the Services or interfere with their operation.
  • Scrape, harvest, or bulk-download information about Partner Organizations or Users.
  • Use the Services in any manner that could harm Gaia, Partner Organizations, other Users, or third parties.
09

Accounts

You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at contact@project-gaia.com if you suspect unauthorized use of your account.

10

Intellectual Property

The Services and all associated content, features, and functionality (excluding content provided by Partner Organizations or Users) are owned by Gaia and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Services without our prior written permission.

Content provided by Partner Organizations remains the property of those organizations. By submitting content to the Services (as a User or Partner Organization), you grant Gaia a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the Services.

11

Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAIA DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

GAIA DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF INFORMATION PROVIDED BY OR ABOUT PARTNER ORGANIZATIONS, NOR THAT ANY DONATION WILL ACHIEVE ANY PARTICULAR OUTCOME OR IMPACT.

12

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAIA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

GAIA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF PLATFORM FEES YOU HAVE PAID GAIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13

Indemnification

You agree to indemnify, defend, and hold harmless Gaia and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any content you submit through the Services.

14

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services will first be addressed through good-faith informal discussion between the parties. If the dispute cannot be resolved informally within thirty (30) days, it will be resolved through binding individual arbitration under the rules of the American Arbitration Association.

15

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. You agree that any legal action not subject to arbitration under Section 14 will be brought exclusively in the state or federal courts located in Delaware.

16

Termination

Gaia may suspend or terminate your access to the Services at any time, with or without notice, for any reason including violation of these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 10, 11, 12, 13, and 14) will survive.

17

Changes to These Terms

Gaia may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by email. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes.
